1.14Training Programme

2. Applicability of the General Terms and Conditions

2.1These General Terms and Conditions apply to all offers, quotations and Agreements between Reality Upgrade and the Participant concerning the Training Programme offered by Reality Upgrade.

2.2If the Participant also books a Retreat offered by Reality Upgrade as a Package Travel Arrangement, these General Terms and Conditions apply exclusively to the Training Programme. The agreement concerning the Retreat offered as a Package Travel Arrangement is governed exclusively by the Reality Upgrade General Terms and Conditions for Retreats declared applicable to that agreement.

2.3Deviations from these General Terms and Conditions are valid only if expressly agreed with Reality Upgrade in writing in advance.

3. Enrolment and Formation of the Agreement

3.1Enrolment in the Training Programme takes place online via the official website Reality Upgrade or by means of an enrolment form supplied by Reality Upgrade.

3.2The Agreement is concluded when the Participant accepts the offer.

3.3After the Agreement has been concluded, the Participant will receive written or electronic confirmation.

3.4Reality Upgrade reserves the right to refuse an enrolment if, in Reality Upgrade’s sole assessment, compelling reasons exist. Any amounts already paid will then be refunded immediately.

4. Cooling-off Period and Right of Withdrawal (Consumers)

4.1Participants acting as consumers have a statutory cooling-off period of 14 days after conclusion of the Agreement, during which they may cancel free of charge and without giving reasons.

4.2The right of withdrawal will, however, expire early if, with the Participant’s express prior consent and within the cooling-off period, Reality Upgrade:

a)has already partly performed the Training Programme; or

b)has provided immediate access to Digital Training Components.

5. Performance of the Training Programme and Best-Efforts Obligation

5.1Reality Upgrade will perform the Training Programme with the greatest possible care and professionalism and to the best of its knowledge and ability. Reality Upgrade expressly has a best-efforts obligation and not an obligation to achieve a specific result. The result depends greatly on the Participant’s commitment and openness.

5.2The Training Programme lasts twelve months and, in eight thematic blocks, addresses the guidance and coaching of psychedelic experiences. The Training Programme includes a central component of seven consecutive days. Article 6 applies to the scheduling and any rescheduling of that component.

5.3The Training Programme is concluded by a multiple-choice examination, which the Participant must pass. A Participant who passes will receive a certificate from Reality Upgrade. The certificate does not constitute a government-recognised qualification.

5.4Reality Upgrade is entitled to engage third parties, including guest facilitators, for performance of the Training Programme.

5.5Where reasonably necessary or desirable for proper or efficient performance, Reality Upgrade may change the teachers, trainers or facilitators deployed, the location, and the form or method of delivery of suitable components of the Training Programme.

5.6Such changes do not constitute a material amendment of the Agreement and do not entitle the Participant to terminate or rescind the Agreement or to receive a refund or reduction of the Training Fees, provided that the nature, content, scope and quality of the Training Programme are not materially affected and the Participant can reasonably be required to continue under the changed circumstances.

5.7In the event of illness or unforeseen unavailability of a teacher or facilitator, Reality Upgrade will use its best endeavours to arrange an adequate replacement. If that is not feasible, Reality Upgrade reserves the right to reschedule the training day.

6. Seven-Day Central Training Component (“Herzstücke”)

6.1The Seven-Day Central Training Component takes place in each training year as part of the Training Programme. Reality Upgrade offers no more than three different Periods for this component within the same training year. The available Periods will be disclosed to the Participant before or upon enrolment. The Participant selects one Period when enrolling.

6.2A minimum of 15 Participants applies to each Period referred to in Article 6.1. If fewer than 15 Participants have enrolled for a particular Period by three months before the start of that Period, Reality Upgrade may combine that group with the group for another Period within the same training year, provided that such other Period was disclosed to the Participant at the time of enrolment.

6.3If Reality Upgrade exercises the right referred to in Article 6.2, the Participant may participate without additional charge during another Period in the same training year designated by Reality Upgrade, provided that this Period had already been disclosed upon enrolment. Reality Upgrade will inform the Participant as soon as possible.

6.4Reality Upgrade may also reschedule the Seven-Day Central Training Component to one of the other published Periods referred to in Article 6.1 within the same training year if performance during the originally selected Period is not reasonably possible due to the illness or unavailability of a teacher or trainer whose participation is essential to its delivery, force majeure, or any other circumstance beyond Reality Upgrade’s reasonable control.

6.5A change referred to in Articles 6.2 through 6.4 does not constitute a material amendment of the Training Programme and does not entitle the Participant to terminate or rescind the Agreement or to receive a refund or reduction of the Training Fees, provided that the change is limited to rescheduling to one of the Periods within the same training year already disclosed upon enrolment and that the Participant can reasonably be required to continue the Training Programme during that other Period.

7. Screening Procedure

7.1Participation is permitted only after the Participant has successfully completed the mandatory Screening Procedure in full.

7.2The Screening Procedure consists of a mandatory questionnaire and a mandatory oral medical and psychological screening interview with Reality Upgrade or an expert appointed by Reality Upgrade.

7.3After enrolment and payment, every Participant will receive a questionnaire. It must be completed fully and truthfully and returned to Reality Upgrade within the period specified by Reality Upgrade.

7.4Following enrolment and payment, a mandatory oral medical and psychological screening interview with Reality Upgrade or experts appointed by Reality Upgrade is also required.

7.5Reality Upgrade will confirm the Participant’s participation only upon successful completion of both the questionnaire and the oral screening.

7.6If the questionnaire is not completed or not returned on time, or if the oral screening interview is not held, Reality Upgrade may exclude the Participant from the Training Programme. In that event, the Participant has no right to participate or to a refund of the Training Fees.

8. Health Requirements and Personal Responsibility

8.1Neither the Training Programme nor the psychedelic experiences offered as part of it constitute medical or psychological treatment.

8.2Participation requires physical and mental suitability. Reality Upgrade assesses suitability by means of the Screening Procedure, which consists of a questionnaire and oral screening interview and includes an assessment against the absolute medical contraindications listed in Article 8.6.

8.3The Participant is responsible for obtaining medical advice if there is any doubt about suitability to participate.

8.4The Participant must disclose fully and truthfully all information relevant to physical or mental health that may affect participation. The Participant must also inform Reality Upgrade promptly and in writing of every relevant change in the Participant’s medical situation during the Training Programme, including, in any event, pregnancy and changes in medication use.

8.5If the Participant conceals health-related information or provides incorrect or incomplete information, Reality Upgrade is not liable for physical, psychological or other damage resulting from that concealment or incorrect or incomplete disclosure.

8.6The following absolute medical contraindications exclude participation entirely, without exception:

  • Psychosis or psychotic episodes;
  • Bipolar disorders, particularly type I;
  • Serious cardiovascular disease;
  • Pregnancy;
  • Use of contraindicated medication;
  • Acute suicidality or risk of self-harm.

8.7The list in Article 8.6 is not exhaustive. Reality Upgrade may also exclude participation if the Screening Procedure reveals other medical or psychological contraindications or circumstances on the basis of which participation is, in Reality Upgrade’s assessment, irresponsible.

8.8Participation is at the Participant’s own expense and risk. The Participant remains responsible at all times for the Participant’s own physical, emotional and psychological processes and actions.

9. Informed Consent

9.1Before participating, the Participant must give informed consent. This means that the Participant confirms having insight into the nature of the experience, the course and content of the programme, the possible risks, and the respective responsibilities of the Participant and Reality Upgrade.

9.2Participation is entirely voluntary.

9.3The Participant may end participation at any time. Article 11 governs the consequences of ending participation.

10. Attendance Requirement

10.1Timely attendance at all scheduled training days is required in order to qualify for a certificate.

10.2The Training Programme has no fixed catch-up sessions. If unforeseen circumstances, such as illness, prevent attendance at a training day or module, Reality Upgrade will, insofar as reasonably and organisationally possible, endeavour to find a suitable alternative with the Participant or allow the missed component to be completed later. Reality Upgrade cannot guarantee that a catch-up opportunity will be available. Absence does not affect the Participant’s payment obligations under the Agreement.

11. Termination by the Participant

11.1The Participant may terminate the Agreement at any time. Reality Upgrade will provide confirmation of the termination.

11.2Termination must be made in writing or by email.

11.3If the Agreement is terminated before or during performance of the Training Programme, the Participant owes Reality Upgrade a fee insofar as, and up to the amount to which, Reality Upgrade is entitled under the statutory rules governing contracts for services, having regard to the work already performed and the other circumstances of the case.

11.4When determining that fee, account will be taken of work already performed for the Participant, including reasonable preparatory and start-up work, and the part of the Training Programme already delivered. Costs and work saved by Reality Upgrade as a result of the termination will be deducted.

11.5The Participant therefore pays a reasonable fee for work already performed, including Start-up Costs. For clarity, the maximum fees are set out below as percentages of the agreed price. If the reasonable fee is lower, Reality Upgrade will charge the lower amount. Reality Upgrade will substantiate the amount at the Participant’s request:

Time of terminationFees payable as a percentage of the agreed price
Up to 2 months before commencement10% of the agreed price, less the value of course materials not yet received
Between 2 months and 1 month before commencement20% of the agreed price, less the value of course materials not yet received
Between 1 month and 2 weeks before commencement30% of the agreed price, less the value of course materials not yet received
Less than 2 weeks before commencement40% of the agreed price, less the value of course materials not yet received
Early termination during the Training Programme40% of the agreed price as Start-up Costs, less the value of course materials not yet received, plus the costs of components already followed, regardless of whether the Participant attended the relevant meeting(s). Total costs will never exceed the agreed price. For a year-round programme, the costs are determined pro rata according to the number of months followed, including the current month. If the programme is divided into blocks, the costs comprise completed modules or blocks plus the module(s) or block(s) being followed at the time of termination.

11.6Different termination arrangements apply to Digital Training Components and the Seven-Day Central Training Component:

a)Digital Training Components:

If and to the extent that the Training Programme consists of Digital Training Components, the Training Programme may be terminated, but the Participant remains obliged to pay the agreed price in full, unless the reasonable remuneration for the services already performed is lower. In that case, the Participant shall only be required to pay this lower amount. At the Participant’s request, Reality Upgrade shall substantiate the amount of this remuneration.

b)Seven-Day Central Training Component (“Herzstücke”):

A separate termination arrangement applies to the Seven-Day Central Training Component. From the moment that Reality Upgrade can no longer cancel, free of charge, the accommodation, catering and other accommodation-related facilities reserved for the Participant with the relevant service providers, and in any event from 90 days prior to the commencement of the Seven-Day Central Training Component, the Participant shall, in the event of cancellation, be required to pay 100% of the separately agreed Accommodation Costs, less any costs that Reality Upgrade actually saves or recovers as a result of the cancellation.

12. Termination by Reality Upgrade Due to Absolute Medical Contraindications Identified During Screening

12.1If the Screening Procedure shows that the Participant has an absolute medical contraindication, including but not limited to those listed in Article 8, on the basis of which participation is, in Reality Upgrade’s assessment, irresponsible, Reality Upgrade may terminate the Agreement.

12.2If the Participant cooperated fully and truthfully with the Screening Procedure and the absolute medical contraindication was not known, and could not reasonably have been known, to the Participant before entering into the Agreement, the Participant is entitled to repayment of amounts already paid for the Training Programme. Reality Upgrade will repay those amounts without undue delay and no later than 14 days after termination.

12.3Reality Upgrade is not required to reimburse costs incurred by the Participant in connection with the Training Programme that do not form part of the Agreement, including travel and accommodation costs, insurance, materials and other goods or services purchased by the Participant.

12.4Termination under this Article does not constitute a termination by the Participant. Accordingly, any termination fees provided for in these General Terms and Conditions in the event of termination by the Participant shall not apply.

13. Payment

13.130% of the Training Fees are payable upon enrolment. The remaining 70% of the Training Fees must be paid no later than 14 days before the kick-off of the Training Programme (Year 1 by 25 February 2027, Year 2 by 21 August 2027). Alternatively, the Participant may pay the Training Fees in full on the day of enrolment by instant bank transfer; in that case Reality Upgrade grants a 3% early-payment discount. If payment by instalments is offered, the due dates must be observed strictly.

13.2If an invoice is not paid in time, Reality Upgrade may suspend its obligations, including access to online modules and course materials and participation in in-person meetings, until the amount due has been paid. The Participant’s payment obligation remains fully in force.

14. Late Payment

14.1If the payment period is exceeded, the Participant is in default by operation of law.

14.2Consumers will first receive a free of charge payment reminder granting a further period of 14 days to pay and stating the collection costs payable if payment is not made.

14.3After expiry of the payment period, a consumer Participant owes statutory interest. Following the 14-day reminder, Reality Upgrade may also charge extrajudicial collection costs in accordance with the Dutch Act on the Standardisation of Extrajudicial Collection Costs (Wet normering buitengerechtelijke incassokosten, WIK).

14.4The collection costs are capped at 15% of the first EUR 2,500 of the outstanding amount, 10% of the next EUR 2,500, and 5% of the next EUR 5,000, subject to a minimum charge of EUR 40.

14.5Business Participants are immediately in default after expiry of the invoice due date. From that time, the business Participant owes contractual interest of 1% per month on the outstanding amount, with part of a month counting as a full month. Reality Upgrade may also claim extrajudicial collection costs from business Participants equal to 15% of the principal sum, subject to a minimum charge of EUR 250.

15. Force Majeure

15.1Reality Upgrade is not required to perform any obligation towards the Participant if prevented from doing so by a circumstance that is not attributable to fault and is not for Reality Upgrade’s account under the law, a juridical act or generally accepted standards (force majeure).

15.2Force majeure includes illness or sudden unavailability of the facilitator, government measures, for example during a pandemic, extreme weather conditions, and electricity or internet disruptions that make online services impossible.

15.3In the event of force majeure, Reality Upgrade will endeavour to reschedule the relevant component. Reality Upgrade will not reimburse travel, accommodation or other costs incurred by the Participant.

16. Liability

16.1Reality Upgrade is liable for damage suffered by the Participant insofar as that damage results from an attributable failure by Reality Upgrade to perform the Agreement or from an unlawful act by Reality Upgrade.

16.2Reality Upgrade is expressly not liable for:

a)Damage resulting from Reality Upgrade having relied on incorrect or incomplete information supplied by or on behalf of the Participant, including concealed medical circumstances;

b)Physical or mental complaints following participation in a First-hand Experience; Reality Upgrade does not offer a medical treatment plan and never replaces regular healthcare;

c)Indirect or consequential loss or loss of income;

d)Theft, loss of or damage to personal property at the location.

16.3If Reality Upgrade is nevertheless held liable, its liability is at all times limited to the amount paid out under Reality Upgrade’s professional or other liability insurance in respect of the relevant claim. If there is no insurance coverage or no payment is made under the applicable insurance policy, Reality Upgrade’s liability is limited to the amount invoiced for the Training Programme concerned.

16.4All third parties engaged by Reality Upgrade, including guest facilitators, trainers, teachers, locations and support staff, may also invoke the limitations of liability in this Article and elsewhere in these General Terms and Conditions. Those third parties may rely on these provisions directly as third-party beneficiaries.

17. Indemnity

17.1The Participant indemnifies Reality Upgrade against claims by third parties who suffer damage in connection with performance of the Agreement where the cause is attributable to a person other than Reality Upgrade. This expressly includes indemnification for damage arising because the Participant supplied incorrect or incomplete medical or psychological information.

18. Group Safety and Exclusion from Participation

18.1During the Training Programme, the Participant is expected to act respectfully and constructively towards other participants, trainers and supervisors and to refrain from conduct that seriously disrupts safety or the orderly course of the Training Programme.

18.2Reality Upgrade may exclude a Participant temporarily or permanently from further participation if the Participant:

a)repeatedly refuses, despite a prior warning, to participate in programme components or fails to follow reasonable instructions from Reality Upgrade or its trainers; or

b)endangers the safety of other participants, trainers or supervisors, or the orderly course of the Training Programme, through transgressive, aggressive, threatening or otherwise disruptive conduct.

18.3Reality Upgrade will take into account the nature and seriousness of the conduct and the circumstances of the case. If the nature or seriousness permits, the Participant will first be warned and given an opportunity to correct the conduct. A prior warning is not required if Reality Upgrade cannot reasonably be expected to allow participation to continue.

18.4If the Participant is permanently excluded because of a serious attributable failure to comply with obligations under the Agreement, Reality Upgrade may terminate the Agreement in whole or in part. The Participant is not entitled to repayment of part of the Training Fees relating to components already followed or already offered. Reality Upgrade may also claim compensation for loss resulting from the breach and termination insofar as that loss is attributable to the Participant and eligible for compensation.

19. Intellectual Property Rights

19.1Course materials are intended solely for personal use. All items supplied by Reality Upgrade, including books, mock examinations, readers and software, are protected by copyright owned by Reality Upgrade or third parties. Without Reality Upgrade’s express prior written consent, these items may not be reproduced, disclosed or otherwise made known or supplied to third parties, either during or after the Training Programme. Materials may not be disclosed in modified form or used under the Participant’s own name without prior written consent. Copyright and ownership rights in the Training Programme are vested entirely in Reality Upgrade.

20. Image and Media Rights

20.1Photographs and video recordings will be made only with the Participant’s express consent. The Participant may withdraw that consent at any time. Withdrawal has no retroactive effect and does not affect the lawfulness of photographs and video recordings made before withdrawal.

21. E-learning and Online Portals

21.1Login details provided for exclusive learning environments are strictly personal and may never be shared with third parties.

21.2If unlawful sharing of access details is established, Reality Upgrade may block access immediately, without entitlement to a refund of the Training Fees.

22. Price Changes

22.1A price change occurring within three months after conclusion of the Agreement but before commencement of the Training Programme will not affect the agreed price.

22.2The Participant is entitled to rescind the Agreement if the price is increased more than three months after conclusion of the Agreement but before commencement of the Training Programme.

22.3Articles 22.1 and 22.2 do not apply to price changes resulting from statutory provisions.

23. Confidentiality

23.1Information supplied by the Participant will be treated confidentially by Reality Upgrade, its staff and persons engaged by Reality Upgrade. Reality Upgrade complies with applicable privacy legislation.

24. Complaints Procedure

24.1Reality Upgrade strives for the highest quality. If a Participant nevertheless has a complaint, it must be submitted in writing, with reasons, as soon as possible and no later than 14 days after the complaint arose, via info@reality-upgrade.com.

24.2Reality Upgrade will provide a substantive response within 14 days after receipt. If further investigation is required, the Participant will be informed and given an indication of the time required.

24.3A complaint never suspends the Participant’s payment or other obligations.

25. Governing Law

25.1The offer, the Agreement and its performance are governed exclusively by Dutch law. This choice of law does not prejudice the consumer’s protection under the mandatory provisions of the law of the country in which the consumer has the consumer’s habitual residence, insofar as Reality Upgrade directs its commercial activities, including advertising and marketing activities, to that country.

26. Competent Court

26.1All disputes arising from or relating to the Agreement will be submitted exclusively to the competent court of the Limburg District Court, Maastricht location.

27. Amendments of the General Terms and Conditions

27.1Reality Upgrade reserves the right to amend or supplement these General Terms and Conditions from time to time.

27.2Amendments will be announced in writing or electronically. If an amendment is detrimental to a consumer Participant under an ongoing Agreement, that consumer is entitled to rescind the Agreement up to the date on which the new terms enter into force. If no objection or notice of termination is received within 30 days after notification, the amended terms will be deemed accepted.
